Terms & Conditions

These Terms & Conditions ("Terms") form a binding legal agreement between you and Nuwall Wallpapers Pvt. Ltd. ("Piwall," "we," "our," or "us"), a company incorporated under the Companies Act, 2013, with its registered office at 07/207 K, N.n Palayam, Pattanam Villege, cbe 16, Palladam, Pallapalayam, Coimbatore, Tamil Nadu, 641016, India. By creating an account, placing an order, or otherwise using the Piwall mobile app or piwall.in website (together, the "Services"), you agree to these Terms.

1. Eligibility

The Services are intended solely for the use of registered Indian businesses (dealers, stockists, distributors, interior-design professionals, and their authorised representatives) and their personnel. By using the Services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding contract
• You are using the Services in the course of business and not as a consumer
• You have a valid GSTIN or equivalent business registration where required by law
• You will comply with all applicable Indian laws and these Terms

2. Your account

You must register for an account to use most features of the Services. You agree to provide accurate, current, and complete information and to update it promptly if it changes. You are responsible for maintaining the confidentiality of your phone number and one-time passwords (OTPs), and for all activity that occurs under your account. Notify us immediately at support@piwall.in if you suspect unauthorised use.

3. Orders, pricing, and acceptance

• All orders placed through the Services are offers to purchase, subject to our acceptance. We may, at our sole discretion, accept or reject any order, limit quantities, or cancel orders for any lawful reason (including pricing errors, fraud, or stock unavailability).
• Prices are displayed in Indian Rupees (INR) and are exclusive of applicable GST unless stated otherwise. Dealer pricing may vary based on your tier (Silver / Gold / Platinum) and any active promotions.
• We reserve the right to change product prices at any time. The price payable is the price displayed at the time you confirm the order.
• Taxes (GST, etc.) are added at checkout. GST invoices are issued on the business name and GSTIN registered with your Piwall account.

4. Payment

Payments may be made through the following methods:

• UPI (via ICICI Bank EasyPay or Razorpay)
• Debit card, credit card, net banking (via Razorpay)
• Cash on Delivery (COD)
• Pay on Delivery (POD) via UPI QR
• Bank transfer (NEFT / IMPS / RTGS) on request

All online payments are processed by third-party payment gateways; we do not store your full card or bank account details. Cash payments at the point of delivery are collected by our authorised delivery personnel against a verified receipt.

5. Delivery

We ship across India through Express (own fleet), Bus Parcel, Standard courier, BlueDart, and Delhivery. Estimated delivery timelines are displayed at checkout and are indicative, not guaranteed. Risk of loss passes to you upon delivery at the shipping address or handover to your nominated logistics partner, whichever is earlier. 6. Cancellations, returns, and refunds

Cancellation, return, and refund eligibility is governed by our Return & Refund Policy, which splits the rules into Part A for retail customers on piwall.in and Part B for B2B dealers / stockists / distributors.

For B2B dealers and stockists: all orders are final sale. Piwall accepts returns, refunds, or replacements only in three narrow situations — damaged in transit, wrong SKU delivered, or manufacturing defect — reported within the windows stated in Part B of the Return & Refund Policy. Piwall does not accept returns for change of mind, dealer ordering error, end-customer cancellation, aesthetic dissatisfaction, or any other reason.

7. Acceptable use

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Resell, redistribute, or scrape product catalog data, images, or pricing without our written consent
• Reverse-engineer, decompile, or attempt to extract the source code of the App
• Interfere with the security or integrity of the Services (e.g., denial-of-service, unauthorised access, malware)
• Impersonate another person or business, or misrepresent your affiliation with any entity
• Use the Services to transmit any content that is obscene, defamatory, infringing, or otherwise unlawful under Indian law

8. Intellectual property

All content on the Services — including wallpaper designs, product images, the Piwall and WOTO trademarks, software, user-interface elements, and text — is the property of Nuwall Wallpapers Pvt. Ltd. or its licensors and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and applicable international laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Services solely for placing orders and managing your business relationship with Piwall.

9. Third-party services

The Services integrate with third-party providers (payment gateways, logistics partners, map and messaging services). Your use of those services is also subject to their respective terms and privacy policies. Piwall is not responsible for the acts, omissions, or policies of third-party providers.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure. Wallpaper colours on-screen may vary slightly from the physical product due to display calibration and print-batch variation; small variations are not a manufacturing defect.

11. Limitation of liability

To the maximum extent permitted under Indian law, Piwall's total aggregate liability for any claim arising out of or relating to the Services shall not exceed the total amount you paid to Piwall in the 6 months preceding the event giving rise to the claim. In no event shall we be liable for any indirect, consequential, incidental, punitive, or special damages, including loss of profits, goodwill, or business opportunity, even if advised of the possibility of such damages.

12. Indemnity

You agree to indemnify and hold Piwall and its directors, officers, employees, and affiliates harmless against any claim, loss, damage, or expense (including reasonable attorney's fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

13. Suspension and termination

We may suspend or terminate your account and access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, any applicable law, or if required by a court or regulator. You may terminate your account at any time by using the Delete Account feature in the App. Termination does not relieve you of any unpaid dues for orders already placed.

14. Force majeure

We are not liable for any delay or failure in performance caused by events beyond our reasonable control, including natural disasters, war, civil unrest, government action, labour disputes, internet outages, or failures of third-party service providers.

15. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute, controversy, or claim arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts at Coimbatore, Tamil Nadu, India. Before filing any legal proceedings, the parties shall first attempt to resolve the dispute amicably through our Grievance Officer (see section 18).

16. Changes to these Terms

We may revise these Terms from time to time. Material changes will be notified to you through the App or by email at least 30 days before they take effect. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the revised Terms.

17. Severability and entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy, Return & Refund Policy, Cookie Policy, and Grievance Redressal page, constitute the entire agreement between you and Piwall.
